Terms of Service

1. Eligibility, authority and accounts

A person must be legally able to enter an agreement and must keep account credentials secure. A person creating or claiming a workspace must be authorised to act for that organisation. Workspace administrators are responsible for membership, roles, configured targets and account activity.

2. Service scope

UxerProof is a privacy-conscious user-journey analytics and improvement-intelligence service. It composes bounded Circuits for authorised digital properties and can produce journey evidence, findings, reports, baselines, Proof Scores and Possibility Engine recommendations. Features described as planned, disabled or experimental are not part of the available service.

UxerProof analyses configured user-journey signals and produces evidence, interpretations and improvement opportunities. It does not guarantee analytical accuracy, conversion improvement, user intent, commercial outcomes or legal compliance. It is not a substitute for lawful notice, consent management, privacy review, accessibility testing, security testing or professional judgment.

3. Customer instrumentation and instructions

Customers are responsible for having authority to test each configured property and for lawful instructions, notices, consent choices and privacy handling. Acceptance of these Terms by an account user is not consent from a visitor to tracking or other collection.

4. Customer data and processing licence

As between the parties, the customer retains its rights in submitted content and generated customer reports. The customer grants Cyclotron Technologies only the limited rights needed to host, secure, process, transmit and delete that data to provide and support UxerProof under documented instructions and applicable agreements.

5. Confidentiality and security

Each party must protect confidential information with appropriate care and use it only for the agreed purpose. Customers must not submit passwords, authentication secrets, payment credentials or other prohibited content. Security descriptions state current controls and are not guarantees against every incident.

6. Acceptable use and third parties

The User Engagement Rules form part of these Terms. Connected services, hosting providers and AI providers may have separate terms. UxerProof will minimise and scope data sent to a configured provider, but customers remain responsible for authorised use of integrations.

7. Trials, subscriptions, billing and tax

Any trial, subscription, credit, payment, tax, cancellation or refund commitment must be taken only from the order form or other published commercial terms applicable to the workspace. These provisions remain unresolved in this draft and require verified product facts and legal review before publication.

8. Suspension, termination, export and deletion

Access or collection may be restricted or suspended for security, legal, payment or User Engagement Rules reasons. Data export and deletion follow the controls, retention criteria, recovery windows and legal-preservation obligations described in the applicable published documents. Tenant deletion requires an authorised workflow and does not permit erasure of necessary security or legal evidence.

9. Intellectual property

UxerProof, its interfaces, software, methods and brand remain the property of Cyclotron Technologies and its licensors. No ownership transfers except for the limited rights expressly stated in an applicable agreement.

10. Warranty, liability, indemnity and disputes

Warranty limitations, liability allocation, indemnities, governing law, venue and dispute resolution are unresolved and must be approved by a qualified legal professional before these Terms can be published.

11. Changes and notices

Historical versions will be preserved. A material change requires a new published version and renewed acceptance before normal workspace use. Notice procedures and formal contact details remain subject to verified legal configuration.
